TMDV ISSUER

The TMDV ETF is managed by ProShare Advisors and aims to replicate the performance of the Index, which is constructed and maintained by FTSE International Limited. The Index targets companies currently part of the Russell 3000 Index, representing about 98% of the investable U.S. equity market, with a history of increasing dividend payments for at least 35 years and specific liquidity requirements. With a minimum of 40 equally weighted stocks in the Index, no single sector can exceed 30% of the index weight. If there are fewer than 40 stocks meeting the dividend growth criteria, companies with shorter dividend growth histories are included. The Index is rebalanced quarterly and annually and is published under the Bloomberg ticker symbol R3DEPTR. Under normal circumstances, the TMDV ETF invests at least 80% of its assets in component securities of the Index, primarily common stocks of public companies. ProShare Advisors may use a replication or representative sampling strategy to achieve its investment objective, depending on market conditions and other factors. The Fund may also concentrate or focus its investments in specific industries, in line with the Index's concentration or focus. As of May 31, 2022, the Index was not concentrated in an industry group but had a focus on the consumer staples and industrials industry groups. TMDV DIVIDEND

The TMDV Dividend ETF, managed by ProShare Advisors, aims to replicate the performance of the Russell 3000 Dividend Elite Index. This index comprises companies that are part of the Russell 3000 and have a track record of increasing dividend payments for at least 35 consecutive years, meeting specific liquidity criteria. The index consists of a minimum of 40 equally-weighted stocks, with no single sector allowed to exceed 30% of the index weight. In cases where there are fewer than 40 stocks meeting the 35-year dividend growth requirement, shorter dividend histories are considered. The ETF follows a replication strategy to align its holdings with the index, offering investors exposure to these elite dividend-paying companies. While dividend income is a primary focus of this ETF, it also allows investors to benefit from the broader equity market.
